Terms of Service

1. Acceptance of Terms

By accessing or using Bnder (“the Platform”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to all of these Terms, you may not use the Platform. These Terms apply to all visitors, registered users, and anyone who accesses or uses the Platform.

2. About Bnder

Bnder is an online marketplace that connects entrepreneurs, operators, and investors who are seeking co-founders, co-owners, or co-investors for business ventures. The Platform allows users to post venture opportunities, browse listings, discover other members, and communicate directly with potential partners.

Bnder is a neutral marketplace only. We do not participate in, endorse, broker, or guarantee any business arrangement, investment, partnership, or transaction between users. All decisions to enter into any business relationship are made solely by the users involved.

3. Eligibility

  • You must be at least 18 years old to register and use Bnder.
  • By creating an account, you confirm that all information you provide is accurate, complete, and current.
  • You may not create more than one personal account. Businesses or teams may not share accounts.
  • Bnder is intended for use by individuals seeking legitimate business partnerships. Use of the Platform for any other purpose is prohibited.

4. Account Registration & Security

When you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@bnder.co if you suspect unauthorized access to your account.

Bnder may offer optional identity verification features (such as LinkedIn profile linking). Verified badges indicate only that a user has completed a verification step — they do not constitute an endorsement of the user or any venture they post.

5. Venture Listings

Users may post venture listings (“Ventures”) describing a business opportunity and the type of partner they are seeking. By posting a Venture, you represent and warrant that:

  • All information in the listing is truthful, accurate, and not misleading.
  • You have the right to post and share the information contained in the listing.
  • The Venture describes a legitimate, lawful business opportunity.
  • You will keep the listing current and mark it inactive or remove it once the opportunity is filled or no longer available.

Bnder reserves the right to remove any listing at any time without notice if we determine, in our sole discretion, that it violates these Terms or is otherwise inappropriate for the Platform.

6. Messaging & Communications

Bnder provides an in-platform messaging system to facilitate introductions between users. All communications on the Platform must be professional and in good faith. You agree not to use the messaging system to:

  • Solicit users for services or products unrelated to the venture opportunity.
  • Send spam, bulk messages, or unsolicited promotional content.
  • Harass, threaten, intimidate, or demean any other user.
  • Share content that is defamatory, obscene, or otherwise unlawful.
  • Solicit money, investments, or personal financial information from other users outside of a legitimate, disclosed business context.

7. User Conduct

You agree not to:

  • Post false, misleading, or fraudulent information in any form on the Platform.
  • Use the Platform for any illegal purpose or in violation of any applicable law or regulation.
  • Scrape, crawl, spider, or otherwise harvest data from the Platform without our prior written consent.
  • Impersonate any person, entity, or business.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Platform or its systems.
  • Use automated tools (bots, scripts) to interact with the Platform.
  • Promote or facilitate multi-level marketing, pyramid schemes, or any form of financial fraud.
  • Post ventures involving illegal activities, regulated financial instruments, or anything that requires specific licensing you do not hold.

8. Content Ownership & License

You retain full ownership of the content you post on Bnder, including venture descriptions, profile information, images, and messages. By posting content, you grant Bnder a worldwide, non-exclusive, royalty-free license to store, display, reproduce, and distribute that content solely for the purpose of operating, promoting, and improving the Platform.

This license terminates when you delete the content or your account, except to the extent your content has been shared with others who have not deleted it, or where retention is required by law.

9. Subscriptions & Billing

Bnder offers both free and paid subscription plans (“Pro”). By subscribing to a paid plan, you agree to the following:

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected).
  • All charges are processed securely through our third-party payment provider, Stripe.
  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you will retain access to Pro features until then.
  • We do not offer refunds for partial billing periods, except where required by applicable law.
  • Bnder reserves the right to change subscription pricing. We will provide at least 30 days’ notice before any price change takes effect for existing subscribers.

Free accounts have access to core Platform features subject to usage limits that may change at Bnder’s discretion.

10. No Investment Advice

Nothing on Bnder constitutes financial, legal, tax, or investment advice. We do not vet the financial viability of any venture posted on the Platform. You are solely responsible for conducting your own due diligence on any opportunity or individual you encounter on Bnder before entering into any business relationship, agreement, or financial commitment.

11. No Guarantee of Results

Bnder does not guarantee that you will find a suitable co-founder, partner, or investor, nor that any partnership formed through the Platform will be successful. We are not responsible for the quality, safety, legality, or outcome of any venture, agreement, or relationship arising from use of the Platform.

12. Privacy

Your use of Bnder is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and protect your personal data. By using the Platform, you consent to those data practices.

13. Intellectual Property

All content, design, code, trademarks, and intellectual property of Bnder (excluding user-generated content) are owned by or licensed to Bnder. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Platform without our prior written consent.

14. Account Suspension & Termination

We reserve the right to suspend, restrict, or permanently terminate any account at our sole discretion, including if we believe the account has violated these Terms, engaged in fraudulent activity, or poses a risk to other users or the Platform.

You may delete your account at any time through your account settings. Upon deletion, your public profile and venture listings will be removed. Some data may be retained as required by law or for legitimate business purposes.

15. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Bnder and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with your use of the Platform, including but not limited to loss of profits, data, goodwill, or business opportunities — even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising out of these Terms shall not exceed the amount you paid to Bnder in the twelve months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless Bnder and its affiliates, officers, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your violation of these Terms or any applicable law.

18. Governing Law & Disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you consent to personal jurisdiction in those courts.

Before filing any legal claim, you agree to contact us at hello@bnder.co and attempt to resolve the dispute informally for at least 30 days.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, for material changes, notify you by email or prominent notice on the Platform. Continued use of Bnder after updated Terms are posted constitutes your acceptance of the revised Terms.
